What a holding company should be

Ownership that behaves like ownership

A holding company earns its place by deciding where capital goes, keeping the structure underneath it sound, and taking the unglamorous work off the desk of the people running the business.

One horizon, not an exit clock

We hold interests to keep them. Decisions are measured over years, so an operating business is never asked to trade its next decade for this quarter.

Structure before speed

Entity structure, resolutions, registers and reporting come first. Nothing we hold should ever be difficult to explain to an accountant, a lender or a regulator.

Support, not interference

Operators keep running their business. We carry the finance administration, compliance calendar and capital questions that sit above the day-to-day.

Disciplines

Where the work actually happens

Four of the disciplines we keep in-house at Zhuge Holdings. The full picture is on the services page.

Capital allocation

Deciding where retained earnings and shareholder funds are put to work next — reinvestment in an existing interest, a new holding, or debt reduction.

Asset and property holdings

Holding, insuring and administering property and other long-lived assets, including leases granted to the operating entities that occupy them.

Corporate structure and governance

Group structure, shareholdings, board and members' resolutions, statutory registers and the ASIC lodgement calendar for every entity we control.

Group administration

Consolidated bookkeeping, intercompany accounts, insurance renewals and record keeping handled once at the top instead of four times underneath.

Approach

Every dollar has to answer for its place

Capital inside a small group is finite, and it is easy to leave it sitting where it landed rather than where it is most useful. Our job is to keep asking the plain question — is this the best home for it?

That means an honest view of what each interest earns, what it needs, and what it would cost to leave. It also means saying no: a holding company that funds everything is not allocating capital, it is just spending.
