What Zhuge Holdings does above the operating line.

Six disciplines, all of them the work of an owner rather than a supplier. They apply to the interests we hold and to businesses considering us as a long-term shareholder.

Capital allocation

The core decision of a holding company: where the group's retained earnings and shareholder funds go next. Each interest is reviewed on what it earns, what it needs and what it would cost to leave, and surplus is directed to the best of those uses rather than the nearest.

Asset and property holdings

Holding long-lived assets — premises, plant and property interests — separately from the entities that trade from them. Includes leases to related operating companies on documented commercial terms, valuations, rates and insurance renewals.

Corporate structure and governance

Group structure and shareholdings, directors' and members' resolutions, statutory registers, constitution and shareholder agreements, and the ASIC lodgement calendar for every entity we control. Kept current as things happen, not rebuilt at year end.

Group administration

Consolidated bookkeeping, intercompany loan accounts, banking authorities, insurance renewals and record keeping handled once at the top of the group. Operators get their time back; the auditor gets one tidy set of files.

Acquisitions and succession

Acquiring whole or partial interests in established Victorian businesses, most often where an owner wants to step back without breaking up what they built. Staged handovers, vendor retained equity and continuity for staff and customers are all on the table.

Risk and insurance oversight

Reviewing what each entity is exposed to and whether it is covered — public liability, property, business interruption and key person cover — plus gearing limits and guarantees given across the group.

What sits outside our remit

Being clear about the boundary is part of the service. Zhuge Holdings acts as an owner of its own interests — it is not a licensed adviser, and it does not offer these things to the public.

Where a matter needs a licensed or registered professional, we say so and work alongside your accountant, lawyer or broker rather than around them.

Not offered

  • Financial product advice or dealing — we do not hold an Australian Financial Services Licence.
  • Managing money for outside investors, or any form of public fund or offer.
  • Credit assistance, mortgage broking or lending to the public.
  • Tax agent services, audit or legal advice.
  • Real estate agency work or property sales on behalf of others.
